Terms of Service

These Terms of Service (“Terms”) form a legally binding agreement between ETRYON LTD (“ETRYON”, “we”, “us”, or “our”) and you (“you” or “Customer”). They govern your access to and use of etryon.ai, our applications, APIs, and integrations, including our Shopify app, Theme App Extension, and WooCommerce/WordPress plugin (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2. Definitions

‍

• “Merchant” means a business or individual using the Services for an online store or website.
• “End User” means a visitor/customer who uses try-on features on a Merchant’s storefront.
• “Shopify App” means our Shopify embedded app and related functionality.
• “Theme App Extension” means our Shopify theme extension elements (blocks, assets) used on storefront pages.
• “Plugin” means our WooCommerce/WordPress plugin.
• “Credits” means usage credits that allow generation/try-on requests.
• “Subscription” means a recurring paid plan for the Services (e.g., Starter/Pro).
• “Trial” means a free trial period offered for a Subscription.
• “Input Content” means content you or an End User provide to the Services (including photos and prompts/parameters).
• “Output” means generated results (including images) produced by the Services.

3. The Services

‍

The Services provide AI-powered virtual try-on generation and related tools, including merchant configuration, storefront try-on UI, and optional APIs/integrations.

‍

We may update, modify, or discontinue features from time to time. We will use reasonable efforts to avoid material negative impact but do not guarantee uninterrupted availability.

‍

4. Eligibility and account responsibility

‍

You must be able to form a legally binding contract to use the Services.

‍

You are responsible for:

‍

• Maintaining the confidentiality of your credentials and API keys
• All activity that occurs under your account or store installation
• Ensuring your store staff and contractors comply with these Terms

‍

5. Merchant responsibilities

‍

If you are a Merchant, you represent and warrant that:

‍

• You have all rights and lawful bases required to collect, upload, and process Input Content (including End User photos) and to provide it to ETRYON for processing.
• You will provide appropriate notices to End Users (including linking to your store privacy policy) and obtain consents where required.

6. Acceptable use

‍

You agree not to:

‍

• Use the Services for unlawful, harmful, or abusive purposes
• Upload or process content that violates privacy rights, contains non-consensual imagery, or violates applicable laws
• Upload content involving sexual exploitation, child sexual abuse material, or content that promotes violence or hatred
• Infringe intellectual property rights of others
• Attempt to bypass usage limits, security controls, or access non-public systems
• Reverse engineer, scrape, or use the Services to build a competing product (except where prohibited by law)

We may suspend or terminate access for violations.

7. Input Content and Output (AI-generated results)

7.1 Input Content license

‍

You retain your rights in Input Content. You grant ETRYON a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and use Input Content solely to provide, maintain, and improve the Services, including generating Output, preventing abuse, and complying with legal obligations.

7.2 Output

‍

As between you and ETRYON, and to the extent permitted by law, you may use Output for your internal business and storefront purposes (including display to End Users). Output may not be unique and may be similar to results generated for others.

‍

You are responsible for ensuring your use of Output complies with applicable laws and does not infringe third-party rights.

‍

7.3 AI limitations

‍

Outputs are generated by AI systems and may be inaccurate, incomplete, or inappropriate. Output is provided “as is” and without warranties (see Section 13).

8. Third-party services (Shopify, WordPress, OpenAI, Google, Stripe)

‍

The Services may integrate with third-party platforms and providers (including Shopify, WordPress/WooCommerce, OpenAI, Google, and Stripe). Your use of those third-party services is governed by their terms, and they may impose additional requirements.

‍

For the Shopify App, certain actions (billing, app installation, webhooks) are performed through Shopify’s systems. For website/Plugin payments, Stripe processes payments.

‍

9. Plans, billing, Trials, and Credits

‍

9.1 Shopify App billing (Shopify Billing)

‍

For the Shopify App, Subscription charges are processed via Shopify Billing. Shopify controls checkout, invoicing, renewals, cancellations, and payment methods. We receive subscription status and related identifiers/events to enable access and manage Credits.

‍

If a Subscription becomes non-active (e.g., canceled, past due, payment failed), your access to paid features and plan-based allowances may be reduced or suspended.

‍

9.2 Website / WordPress billing (Stripe)

‍

For purchases made on our website or for the Plugin (where applicable), payments are processed by Stripe. You authorize Stripe (and ETRYON as applicable) to charge your payment method in accordance with your selected plan or purchase.

9.3 Trials

‍

We may offer a Trial for certain Subscriptions. Trial eligibility and duration may vary by platform and may be limited (for example, a platform may restrict multiple trials per store). Trials may automatically convert to paid Subscriptions unless canceled before the trial ends (where the platform supports cancellation timing).

For the Shopify App, Trial behavior is governed by Shopify Billing and the subscription confirmation flow.

9.4 Credits and usage rules

‍

Credits may be included in Subscriptions or purchased separately as one-time packs.

‍

• Subscription Credits: Credits included in a Subscription apply to the corresponding billing period (e.g., monthly) and reset at the start of each new billing period. Unused Subscription Credits do not roll over unless explicitly stated in the product UI.
• Purchased Credits (one-time): Additional Credits purchased outside a Subscription do not expire unless explicitly stated at purchase time.
• Non-refundable: Credits are non-refundable, including unused Credits, except where required by law.
• Abuse and reversals: We may adjust Credits for fraud, chargebacks, abuse, refunds, or billing errors.

9.5 Taxes

‍

Prices may be exclusive of taxes unless stated otherwise. You are responsible for applicable taxes, duties, or governmental charges.

10. Refunds and cancellation

‍

Refunds are governed by our Refund Policy (if provided) and by applicable law. For Shopify App subscriptions, refunds and cancellations are handled through Shopify Billing processes. For Stripe purchases, refunds follow our Refund Policy and Stripe’s processing requirements.

‍

11. Intellectual property

‍

The Services, including software, UI, designs, and underlying technology, are owned by ETRYON and/or its licensors and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, or lease any part of the Services.

12. Privacy

‍

Our collection and use of personal information is described in our Privacy Policy at https://www.etryon.ai/privacy. You agree that your use of the Services is subject to that policy.

13. Disclaimers

‍

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ETRYON DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT OUTPUT WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR THAT USE OF OUTPUT WILL IMPROVE SALES OR CONVERSIONS.

14. Limitation of liability

‍

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

‍

• ETRYON WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
• ETRYON’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO ETRYON FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms limits liability that cannot be limited by law.

15. Indemnity

‍

You agree to indemnify and hold harmless ETRYON from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:

• Your Input Content or your use of Output
• Your breach of these Terms
• Your violation of applicable laws or third-party rights

16. Suspension and termination

‍

We may suspend or terminate your access to the Services:

‍

• If you violate these Terms
• If required by law or by a platform provider
• If your payments fail or your Subscription is not active (where applicable)
• To protect the security or integrity of the Services

‍

Upon termination, your right to use the Services stops. Certain sections (including IP, disclaimers, limitation of liability, indemnity) survive termination.

17. Changes to the Services and Terms

‍

We may change the Services and update these Terms from time to time. If we make material changes, we will update the “Last updated” date and may provide additional notice where required.

Your continued use of the Services after changes become effective means you accept the updated Terms.

18. Governing law and jurisdiction

‍

These Terms are governed by the laws of England and Wales, without regard to conflict of laws principles. You agree that the courts of England and Wales will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, except where prohibited by law.

19. Miscellaneous

‍

• Assignment: You may not assign these Terms without our consent. We may assign them as part of a merger, acquisition, or asset sale.
• Severability: If a provision is unenforceable, the remainder remains in effect.
• Entire agreement: These Terms and the referenced policies form the entire agreement regarding the Services.
